Terms of Service

1. Agreement

These Terms of Service govern your use of Groundwork (the "Service"), operated by [PLACEHOLDER: Legal Entity Name] ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What Groundwork does

Groundwork helps freelance web developers and agencies find local businesses with weak or missing websites, scores those sites, estimates deal value, and drafts outreach and concept mockups. Business information is sourced from third-party providers, including Google. Scores, revenue estimates, and mockups are automated, best-effort, and provided for your evaluation - they are not guarantees.

3. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and able to form a binding contract.

4. Acceptable use - you own your outreach

Groundwork drafts outreach; you decide whether and how to send it. You are solely responsible for your communications and for complying with all applicable laws, including anti-spam laws (such as CAN-SPAM and CASL), telemarketing and do-not-call rules, and data-protection laws. You agree not to use the Service to send unlawful, deceptive, or harassing messages. We do not send anything on your behalf.

You also agree not to: scrape, resell, or redistribute the underlying data or the Service; exceed or circumvent rate limits and quotas; reverse engineer the Service; or use it to violate any third party's rights.

5. Plans, billing, and cancellation

Browsing is free. Paid plans ("Pro") and usage limits are described on our pricing page. Subscriptions are billed in advance through our payment processor (Stripe) and renew automatically until cancelled. You can cancel anytime; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable. We may change pricing on prospective notice.

6. Third-party services

The Service relies on third parties including Google (business data), Anthropic (AI), Hunter.io (email lookups), Supabase (hosting/database), and Stripe (payments). Your use of data and features derived from them is also subject to their terms. Business data displayed in the Service is provided by Google and remains subject to Google's terms.

7. Your content and data

You retain ownership of the leads you save, notes, and other content you create. You grant us a limited license to host and process it to operate the Service. We process personal data as described in our Privacy Policy.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind. We do not warrant that scores, revenue estimates, contact details, mockups, or business data are accurate, complete, current, or fit for any purpose. You are responsible for verifying information before acting on it.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or third parties.

11. Changes

We may update these Terms. If we make material changes we will provide reasonable notice. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of [PLACEHOLDER: State / Country], without regard to conflict-of-laws rules.
